These Terms govern your use of imdave (the “Service”), provided by MVT Management (“imdave”, “we”, “us”). We’re based at 1 Allied Business Centre, Coldharbour Lane, Harpenden, England, AL5 4UT. You can contact us at hello@imdave.ai.
imdave is an AI-powered platform that helps you design, plan, and build digital products. Through the Service you can:
You must be at least 18 years old to use the Service. You agree to provide accurate information at signup and keep it current. You’re responsible for all activity on your account and for keeping your login credentials secure.
Plans and pricing: the Service is offered on a subscription basis. Each plan includes a monthly or annual allowance of AI tokens (your “token balance”), a monthly allowance of production deployments, and access to features as described.
Tiers: Starter (£199/month), Growth (£499/month), Scale (£999/month), Enterprise (£2,499/month). Annual plans receive a 20% discount. The Pro Suite bolt-on adds £449/month.
Free trial: new accounts receive 14 days of free access before being required to activate a paid subscription. Free access includes a daily limit of 20 chat messages, project creation, brief submission, and one free preview proposal per project. Paid AI tasks, production deployments, domain purchases, video generation, and premium proposal generation require an active paid subscription.
Activating a paid subscription automatically generates and delivers your first full premium proposal as part of the activation. This is a paid service.
Token balance: plan tokens reset at each billing period and do not carry over. Top-up pack tokens do not expire and carry over indefinitely. Plan tokens are consumed before top-up tokens (first-in, first-out).
Live token counting: when you authorise a paid AI task, you’ll see live token consumption update in realtime. We do not estimate token costs — actual usage is metered live.
Balance depletion: if your token balance is depleted during a task, the task may continue briefly before pausing. Any negative balance is recovered from your next top-up or plan reset. No further paid AI tasks can be started until topped up or plan resets.
No automatic overage: we never charge you beyond your plan and top-ups for AI usage. Additional tokens require an explicit top-up purchase.
Production deployments beyond your plan’s allowance are charged at £35 per deploy, billed in arrears.
Billing: subscription fees are billed in advance monthly or annually. Metered charges are billed in arrears. All payments processed by Stripe.
Refunds: you may cancel and request a refund within 14 days of activating your paid subscription, provided you have not used a paid feature post-activation. Once you receive your first premium proposal, or use any paid feature (production deployments, domain purchases, additional premium proposals, video generation), your subscription is no longer eligible for refund. Free Haiku chat use does not affect refund eligibility.
Price changes: we may change pricing with at least 30 days’ notice via email. Changes apply at your next renewal.
Your content: everything you create using the Service — your project briefs, the websites and apps built for you, the content you upload — remains yours. You grant us a licence to store and process your content to provide the Service.
Our IP: the Service itself, including the AI agents, platform infrastructure, and related software, is our intellectual property. Your subscription gives you the right to use the Service, not to reproduce or resell it.
Proposals: preview proposals and full premium proposals are yours once delivered. We host them at unique URLs and save them to your project documents. We retain a copy for service-delivery purposes.
When you purchase a domain through the Service, we register it on your behalf. You own the domain; we manage it for you as long as you remain a client. If you leave, we will transfer the domain to a registrar of your choice free of charge on request — no ransom.
If you bring your own domain, you remain responsible for its registration, renewals, and DNS management with your chosen registrar.
The Service deploys your projects to sandbox environments (free to iterate) and promotes to production on your request (metered). You are responsible for the content, functionality, and legality of anything deployed. We do not guarantee uptime. Sandbox environments are paused after 30 days of inactivity and may be archived 90 days after project closure unless your subscription remains active.

You can cancel your subscription any time from your account page.
Your sandboxes are paused at cancellation and archived 30 days later unless you reactivate. Your domains can be transferred to a registrar of your choice free of charge on request.
We may update these Terms. Material changes will be notified by email at least 14 days in advance. Continued use after changes constitutes acceptance.
Our liability for any claim is limited to the fees you paid in the 12 months before the claim arose. We are not liable for indirect or consequential losses. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.
These Terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England and Wales.
